Ad#11848632        11/21, 11/28, 12/5/25 Space Florida’s Notice of Authorization of Equipment-Lease Financing for “Project Prime” Space Florida, the independent special district and subdivision of the State of Florida established under Part II of Chapter 331 of Florida Statutes, hereby gives notice to all persons that on November 13, 2025, its Board of Directors approved its Resolution No. 25-51 authorizing the lease financing of simulation-training equipment for Project Prime. The resolution is titled as follows: RESOLUTION OF THE SPACE FLORIDA BOARD OF DIRECTORS REGARDING NOT-TO-EXCEED $23,000,000 EQUIPMENT FINANCING FOR PROJECT PRIME The resolution made certain pertinent findings and authorized the directors and officers of Space Florida to enter into a Master Lease Agreement with Prime who will serve as the guarantor of all financing obligations with Banc of America Leasing & Capital, LLC, for the financing of equipment consisting of two flight simulators in an aggregate principal amount not to exceed $23,000,000, with a rate or rates of interest not exceeding 6% per annum and a final maturity date or dates not later than 84 months from the date of borrowing for an individual item of equipment. The proceeds of the financing shall be used (i) to finance two high-value aircraft simulation-training equipment currently being leased to Prime and being used in its aerospace/aviation business in Miami-Dade, Florida, (ii) to pay the costs of entering into the lease financing, if any, and (iii) to pay interest, if any, accrued on the financing arrangement as of the date of closing of each borrowing. Lease payments shall be payable solely from amounts received by or on behalf of Space Florida from Prime under the Master Lease Agreement. SPACE FLORIDA GIVES FURTHER NOTICE THAT, under Section 331.346 of Florida Statutes, an action or proceeding questioning or challenging the validity of the equipment-lease financing, the validity of the proceedings authorizing the equipment-lease financing, or the validity of any covenants made by Space Florida in connection with the equipment-lease financing, or any combination of the foregoing, must be instituted no later than 20 days after the first publication of this notice. If such an action or proceeding is not instituted within that time, then (i) the validity of the equipment-lease financing and all related proceedings and covenants shall not be thereafter questioned or challenged in any court whatsoever, (ii) the validity of the equipment-lease financing and all related proceedings and covenants shall be conclusive, and (iii) all persons and parties whatsoever shall be forever barred from questioning or challenging the validity of the equipment-lease financing and all related proceedings and covenants in any court whatsoever.
