NOTICE OF SECURED PARTY PUBLIC AUCTION OF 100% OF THE MEMBERSHIP INTERESTS IN CENTRA 186 HOLDINGS LLC
NOTICE IS HEREBY GIVEN that UMB Bank, N.A., as Trustee of the Centra MetroPark (Iselin, NJ) (Junior Subordinated Note) Lease-Backed Pass-Through Trust (“Secured Party”), will offer for sale at public auction the following property: all right, title and interest of Centra 186 Mezz LLC as a member in CENTRA 186 HOLDINGS LLC, as such Pledged Collateral is described more specifically in that certain Junior Subordinated Security Agreement dated as of December 16, 2021 (“Security Agreement”), between Centra 186 Holdings LLC and Secured Party; and that certain Non-Recourse Guaranty, Pledge and Security Agreement dated December 16, 2021 (“Pledge Agreement”), between Centra 186 Mezz LLC and Secured Party, as Pledgee, as such agreements may have been further amended or modified from time to time. The Pledged Collateral consists of, inter alia, 100% of all rights, title and interests of Centra 186 Holdings LLC, including without limitation its ownership of the approximately 110,000-square foot office property located at 186 Wood Ave S, Iselin, NJ 08830. The sale is of membership interests only, not of any real property directly. The public auction will take place on October 31, 2025 starting at 11:00 a.m. Eastern Daylight Time (New Jersey) at the law offices of Windels Marx Lane & Mittendorf, LLP, 120 Albany Street Plaza, 6th Floor, New Brunswick, New Jersey 08901; 732-846-7600; Attn: Rodman E. Honecker, Esq., both in person and virtually by on-line video conference (for which a link and password will be provided for all registered Qualified Bidders). All interested prospective purchasers are invited to become Qualified Bidders. Only Qualified Bidders and their duly appointed agents and representatives will be permitted to participate in the public auction.
