Application for Mascoma Mutual Financial Services Corporation to merge with Androscoggin Bancorp, MHC, with ClearNorth Financial Mutual Holding Company as the surviving entity, and thereby acquiring control of Androscoggin Bancorp, Inc., Androscoggin Bank, and Portland Trust Company, LLC. Mascoma Mutual Financial Services Corporation, a New Hampshire mutual holding company, and Androscoggin Bancorp, MHC, a Maine mutual holding company, have applied to the Maine Bureau of Financial Institutions pursuant to Title 9-B Chapters 35, 101 and 105 for the approval of a merger, with the resulting entity to be known as ClearNorth Financial Mutual Holding Company. As part of the holding company merger, the application also seeks approval for the acquisition of control of Androscoggin Bancorp Inc., Androscoggin Bank, and Portland Trust Company, LLC pursuant to M.R.S. 9-B §1015. The merger is also subject to approval by the New Hampshire Banking Department and the Federal Reserve.
