NOTICE OF MERGER

NOTICE OF MERGER MERGER STATEMENT: Effective on November 19, 2024, J.B.C. Capital Holding Corporation, a Texas Corporation, completed a divisional merger in which it divided into J.B.C. Capital Holding Corporation, a Texas corporation ("Surviving Entity"), and one new entity, Chaparral Yucca, LLC, a Texas limited liability company ("New Entity"), for the purposes of segregating ownership, maintenance, management and liability relating to certain roads and rightaways located in Chaparral, New Mexico (the "Subdivision Roads") listed in the Agreement and Plan of Divisional Merger, dated November 19, 2024, by Surviving Entity ("Plan of Merger"). Under the applicable provisions of the Texas Business Organizations Code and the Plan of Merger, effective November 19, 2024, all rights, liabilities and obligations relating directly or indirectly to the Subdivision Roads were allocated to the New Entity, and Surviving Entity was relieved from any such rights, liabilities and obligations. True and correct copies of the merger documents have been filed with and issued by the State of Texas and can be found on the Texas Secretary of State website. DECLARACION DE ESCISION: Con vigencia el 19 de noviembre de 2024, J.B.C. Capital Holding Corporation, Sociedad Anónima de Texas, concluyó la escisión legal por la cual se escindió en J.B.C. Capital Holding Corporation, Sociedad Anónima de Texas ("Sociedad Escindente") y una nueva sociedad, Chaparral Yucca, LLC, Sociedad de Responsabilidad Limitada de Texas ("Sociedad Escindida"), con el fin de dividir la propiedad, mantenimiento, administración y responsabilidad de ciertas calles y derechos de paso ubicados en Chaparral, Nuevo México (las "Calles de la Subdivisión") identificados en el Convenio y Plan de División por Escisión, de fecha 19 de noviembre de 2024 de la Sociedad Escindente ("Plan de Escisión"). De conformidad con las disposiciones aplicables del Código de Organizaciones Mercantiles de Texas [Texas Business Organizations Code] y el Plan de Escisión vigente el 19 de noviembre de 2024, todos los derechos, responsabilidades y obligaciones relacionadas directa o indirectamente con las Calles de la Subdivisión fueron transferidos a la Sociedad Escindida y la Sociedad Escindente fue liberada de dichos derechos, responsabilidades y obligaciones.
