NOTICE OF PUBLIC HEARING
Notice is hereby given that a telephonic public hearing will be held on behalf of The Health and Educational Facilities Board of Rutherford County, Tennessee (the "Tennessee Issuer"), pursuant to Section 147(f) of the Internal Revenue Code (the "Code"), on November 18, 2025, at 3:00 p.m. (CST). Interested parties may join the public hearing on the date and the time indicated above by dialing 1-877-304-9269 (US Toll Free) and when prompted entering the meeting code 651864#.
This hearing is regarding a proposed issuance by the Tennessee Issuer of one or more series of its qualified 501(c)(3) bonds as defined in Section 145 of the Code (the "Tennessee Issuer Bonds"), in an aggregate principal amount not to exceed $365,000,000. The proceeds of the Tennessee Issuer Bonds will be loaned to Ascension Health Alliance d/b/a Ascension ("Ascension"), a Missouri not-for-profit corporation and an organization described in Section 501(c)(3) of the Code, which will use a portion of the proceeds in the amount not to exceed $125,000,000 to finance and/or refinance the construction, acquisition, reconstruction, improving, equipping, furnishing and/or bettering of certain capital improvements of the hospitals, other health facilities and their related facilities, including land (the "Tennessee Issuer Projects"), owned or operated by Saint Thomas West Hospital, an affiliate of Ascension (the "Nashville Benefitted Affiliate"), generally located at the addresses in Nashville, Davidson County, Tennessee, described below:
The campus of Ascension Saint Thomas Hospital West, generally located at 4220 Harding Pike, Nashville, Tennessee, and generally bounded by Harding Pike, Bosley Springs Road, and Saint Thomas Drive ($55,000,000 maximum principal amount) and (B) the campus of Ascension Saint Thomas Hospital Midtown, generally located at 2000 Church Street, Nashville, Tennessee, and generally bounded by Hayes Street, 21st Avenue North, Church Street, 22nd Avenue North, Murphy Avenue, Arena Avenue, Arena Place, 20th Avenue North, Patterson Street, 19th Avenue North, State Street, and 20th Avenue North ($70,000,000 maximum principal amount), each in Davidson County.
This hearing is also regarding a proposed issuance of qualified 501(c)(3) bonds, as defined in Section 145 of the Code, by the Indiana Finance Authority (the "Indiana Issuer") in one or more series in an amount not to exceed One Billion Four Hundred Seven Million ($1,407,000,000) (the "Indiana Issuer Bonds" and, together with the Tennessee Issuer Bonds, the "Bonds"). A portion of the proceeds of the Indiana Issuer Bonds in the maximum principal amount set forth below will be loaned to Ascension and used to refinance projects owned and/or principally used by the Nashville Benefitted Affiliate (the "Indiana Issuer Project" and, together with the Tennessee Issuer Projects, the "Projects"), generally located at the address in Nashville, Davidson County, Tennessee, described below:
The campus of Ascension Saint Thomas Hospital West, generally located at 4220 Harding Pike, Nashville, Tennessee, and generally bounded by Harding Pike, Bosley Springs Road, and Saint Thomas Drive ($172,000,000 maximum principal amount), in Davidson County.
The above facilities are owned and/or principally used by the Nashville Benefitted Affiliate, a nonprofit corporation and an organization described in Section 501(c)(3) of the Code. The remainder of the proceeds of the Bonds will be used by other affiliates of Ascension for projects located in other jurisdictions in the State of Tennessee, as well as the states of Indiana, Florida, Illinois, Kansas, Maryland, Oklahoma, Texas, and Wisconsin.
At such public hearing there will be an opportunity for persons to express their views concerning the issuance of the Bonds by the Tennessee Issuer or the Indiana Issuer, as applicable, or the nature and location of the Projects to be financed and/or refinanced with the proceeds of the Bonds, as applicable. The Bonds and the interest thereon shall not constitute an indebtedness or pledge of the general credit or taxing power of The Metropolitan Government of Nashville and Davidson County, Tennessee and the Bonds will not impose any liability on The Metropolitan Government of Nashville and Davidson County, Tennessee.
