NOTICE TO THE PUBLIC
YOU ARE HEREBY NOTIFIED that on December 5, 2025, at 10:00 a.m., at the Jefferson County Courthouse, 202 E. Broad Street, Louisville, Georgia 30434, Judge Tommy J. Smith of the Superior Court of Jefferson County will hear the case of STATE OF GEORGIA vs. DEVELOPMENT AUTHORITY OF JEFFERSON COUNTY, GEORGIA and STELLAR DRY CREEK SOLAR LLC, Civil Action File No. "as on record with the Clerk" in the Superior Court of Jefferson County, the same being a proceeding to confirm and validate a Development Authority of Jefferson County, Georgia Taxable Industrial Development Revenue Bond (Stellar Dry Creek Solar LLC Project), Series 2025 (the "Bond"), in a maximum principal amount of $175,000,000, which is to be issued by the Development Authority of Jefferson County, Georgia (the "Issuer") pursuant to the terms of a resolution adopted by the Issuer, for the purpose of acquiring and leasing the below-described Project and thereby furthering the public purposes of the Act, which are to promote industry, trade, commerce, and employment opportunities within Jefferson County, Georgia (the "County"). The "Project" is a capital project consisting of an approximately 175-225 Megawatt solar photovoltaic electrical generating facility to be sited on approximately 1,251 acres of land in the County in the vicinity of Eden Church Road, Louisville, Georgia (the "Site"), and related real property improvements to be constructed thereon, such as, without limitation, concrete pads, fencing, and roads, and equipment and other personal property, specifically including the photovoltaic panels, racking systems, inverters, breakers, switches, cabling, power transformers, energy storage facilities, telecommunications equipment and associated materials and equipment to be installed thereat, which Project is to be owned by the Issuer and leased to Stellar Dry Creek Solar LLC, a Delaware limited liability company (the "Company"), for use by the Company as a solar power generation facility. For the avoidance of doubt, the Project does not include the Site. In such proceeding, the Court will also (a) hear and determine the validity of instruments relating to and providing security for the Bond, and (b) hear and determine such other questions of law and fact pertaining to the right of the Issuer to issue the Bond and to provide the security therefor. The Bond shall be a special and limited obligation of the Issuer, payable from funds provided by the Company or its successors, shall not be payable from taxes or other public funds, and NO PERFORMANCE AUDIT OR PERFORMANCE REVIEW SHALL BE CONDUCTED WITH RESPECT TO SUCH BOND ISSUE. Any citizen of the State of Georgia residing in the County, or any other person wherever residing who has a right to object, may intervene and become a party to these proceedings.
