ORDER TO SHOW CAUSE
At a Commercial Part of the Supreme Court of the State of New York, held in and for the County of Westchester, at the Courthouse located at 111 Martin Luther King Jr. Blvd, White Plains, New York 10601 on the 31st day of October, 2025. PRESENT: Hon. Gretchen Walsh, J.S.C., Supreme Court of the State of New York County of Westchester In the Matter of the Application of Alfred Ndoj, Petitioner for the Judicial Dissolution of A & A Illyrins Corp. d/b/a Handlebar Men's Salon, Respondent, pursuant to Section 1104 of the New York Business Corporation Law. Index No. 74792/2025, Order to Show Cause Motion Seq. 1. Upon the reading and filing of the annexed Petition of Alfred Ndoj, the holder of fifty percent (50%) of the shares of Respondent A & A Illyrins Corp. d/b/a Handlebar Men's Salon, a corporation incorporated and existing under the Business Corporation Law of the State of New York ("Respondent" or "Corporation"), duly verified on October 30, 2025, and the exhibits thereto, and good cause appearing therefor, LET Respondent and all persons interested in said corporation, or their attorneys, show cause before this Court, at Commercial Part, Room 105 of the Courthouse located at 111 Dr. Martin Luther King Jr. Blvd., White Plains, New York 10601, on the 5th day of December, 2025, said day being not less than four weeks from the granting of this order, at 9:30 a.m. or as soon thereafter as counsel may be heard, why the Corporation should not be dissolved pursuant to New York Business Corporation Law § 1104; and IT IS ORDERED that upon the return date of the Petition, the Corporation, its officers and directors, furnish the Court with a schedule of accounts of the Corporation, known or ascertainable with due diligence by them, including a statement of the Corporation's assets and liabilities, and the names and addresses of each creditor and claimant, including any with unliquidated or contingent claims and any with whom the Corporation has unfulfilled contracts; and IT IS ORDERED that a copy of this Order to Show Cause shall be published in the Journal News, a newspaper of general circulation in the County of Westchester, at least once in each of the three weeks before the time appointed for the hearing thereon; and IT IS ORDERED that service of this Order together with the papers on which it is based, be made upon (i) the office of the New York State Tax Commission and (ii) Agon Gega, the holder of fifty percent (50%) of the shares of the stock of the Corporation by personal service CPLR 308 at least twenty (20) days before the time of the hearing be deemed good and sufficient service upon those persons interested in the Corporation. Opposition, if any, shall be served/filed on or before 12 p.m. on December 3, 2025. Petitioner shall file proof of service on or before 12 p.m. on December 3, 2025.
