WITH RESPECT TO
NOT TO EXCEED $35,000,000 MAXIMUM STATED PRINCIPAL AMOUNT OF
PUBLIC FINANCE AUTHORITY
DRAW-DOWN REVENUE BONDS, SERIES 2026
(CHEEKWOOD BOTANICAL GARDEN AND MUSEUM OF ART PROJECT)
Notice is hereby given that on Tuesday, March 10, 2026, a public hearing, as required by Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code"), will be held by the Public Finance Authority (the "Authority") and by the Metropolitan Government of Nashville and Davidson County, Tennessee (the "Metropolitan Government") with respect to the proposed issuance by the Authority of its Public Finance Authority Draw-Down Revenue Bonds, Series 2026 (Cheekwood Botanical Garden and Museum of Art Project) in one or more series, as part of a plan of financing (the "Bonds"), in a maximum stated principal amount not to exceed $35,000,000. The hearing will commence at 9:00 a.m. (Central Time Zone), or as soon thereafter as the matter can be heard, and will be held via telephonic means accessible to the general public as described below, pursuant to Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code"), and Internal Revenue Service Revenue Procedure 2022-20.
The Bonds are expected to be issued by the Authority pursuant to Section 66.0304 of the Wisconsin Statutes, as amended, and the proceeds from the sale of the Bonds will be loaned to Cheekwood Botanical Garden and Museum of Art (the "Borrower") and used to finance the construction of a new three-level parking facility with a ticketing center and green-roof welcome plaza in connection with the botanical garden and museum of art, to be located at 1200 Forrest Park Drive, Nashville, Tennessee 37205 (collectively, the "Project").
The Project will initially be owned and operated by the Borrower. The Bonds will be issued as qualified 501(c)(3) Bonds under Section 145 of the Code. The Bonds will also require "host" approval under Section 147(f) of the Code from the Metropolitan Government because the Project is located within its geographic jurisdiction. The Metropolitan Government has authorized the Authority to hold this public hearing on its behalf.
The Bonds will be special limited obligations of the Authority payable solely from the loan repayments to be made by the Borrower to the Authority, and certain funds and accounts established by the Bond Indenture for the Bonds and will not be obligations of the Metropolitan Government.
The hearing will provide a reasonable opportunity to be heard for persons wishing to express their views on the merits of the Project, its location, the issuance of the Bonds or related matters. Oral comments will be limited to 3 minutes per speaker. A person wishing to speak at the hearing will be asked to provide his or her name, address and the person(s) or entity(ies) he or she represents, if any, prior to speaking. Interested persons wishing to express their views on the plan of financing for the issuance of the Bonds for the Project or the nature and location of the Project proposed to be financed may attend the public hearing by telephone toll-free by dialing (877) 853-5257 (Meeting ID: 813 3194 3722) or submitting written comments at least 24 hours prior to the hearing.
