IN THE MATTER OF THE JOINT PETITION OF VEOLIA WATER NEW JERSEY, INC. AND LAKE LENAPE WATER CO. FOR AUTHORIZATION (i) FOR LAKE LENAPE WATER CO. TO DISCONTINUE UTILITY SERVICE AND SELL UTILITY ASSETS; AND (ii) FOR VEOLIA WATER NEW JERSEY, INC. TO ACQUIRE CONTROL OF LAKE LENAPE WATER CO.'S UTILITY ASSETS AND EXPAND ITS SERVICE AREA RELATED TO THE ACQUISITION OF ASSETS

PLEASE TAKE NOTICE that on December 19, 2025, Veolia Water New Jersey, Inc. ("Company" or "Veolia") and the Lake Lenape Water Co. ("LLWC") filed a joint petition with the New Jersey Board of Public Utilities ("Board" or "BPU") pursuant to N.J.S.A. 48:2-24, 48:2-51.1, 48:3-10 and 48:3-7, and N.J.A.C. 14:1-5.10, and 14:1-5.14, seeking to acquire the water system assets and change in control of the Lake Lenape Water Co. located in the Township of Andover in Sussex County ( the " Township") (the "Proposed Transaction"). The Proposed Transaction entails the acquisition of LLWC by Veolia and subsequent merger of LLWC with and into Veolia. If the Petition is approved, there will be no rate effect on Lake Lenape customers at this time in connection with the Proposed Transaction, thus the rates will remain the same. The Company also seeks authority to incorporate this franchise area into the Company's Board-approved tariff rates for water and wastewater service under the standard terms and conditions of Veolia's tariff.
The Board will evaluate the impact of the Proposed Transaction on competition, the rate paid by the customers of the LLWC, the employees of LLWC, and the provision of safe and adequate utility service at just and reasonable rates. The Joint Petitioners state that the Proposed Transaction will not have an adverse impact on competition, rates, employees of LLWC, or on the provision of safe, adequate and proper utility service, and instead will provide positive benefits as demonstrated by the commitments included in the Joint Petition. Any relief determined by the Board to be just and reasonable may be applied by the Board in such a manner as it deems appropriate.

Notice of the Proposed Transaction was served on the clerk, executive or administrator of each municipality and county within the Veolia and LLWC companies' service areas. Such notice has also been served, together with the reconciliation filing and all exhibits, upon the Director of the New Jersey Division of Rate Counsel ("Rate Counsel"). A copy of the Joint Petition is also available for inspection on the company's website at https://mywater.veolia.us/new-jersey/support-center/rates-and-regulation.
Representatives from the Company, LLWC, Board Staff, and the New Jersey Division of Rate Counsel will participate in the virtual public hearings. Members of the public are invited to participate by utilizing the link or dial-in information set forth above and may express their views on this Petition. All comments will be made part of the final record of the proceeding and will be considered by the Board.
