Notice to Creditors and Claimants of Prax Inc.
Pursuant to Section 280(a) of the Delaware General Corporation Law (DGCL): On November 17, 2025, Prax Inc., a Delaware corporation, filed a Certificate of Dissolution with the Delaware Secretary of State. In accordance with the Certificate of Dissolution, Prax Inc. was dissolved effective November 17, 2025. If you believe that you have a claim against Prax Inc., the corporation requests that you present your claims immediately, and no later than 60 days from the first publication date of this notice, by letter to: Prax Inc. c/o: Liechty McGinnis Berryman & Bowen, LLP, Attention: Daniel Denny, 11910 Greenville Avenue, Suite 400, Dallas, Texas 75243.
Your letter must provide a summary of your claim that includes the following information: 1) The name, address and telephone number of the claimant; 2) The amount of the claim; 3) The basis for the claim; and 4) Documentation of the claim. NOTICE: Pursuant to applicable law, a claim against Prax Inc. shall be barred unless a claim is received no later than 60 days from the first publication date of this notice. The foregoing shall not be construed as a waiver of any defenses by Prax Inc. or its stockholder, including without limitation the defense of statute of limitations. Prax Inc. may make distributions to other claimants, stockholders, or other interested entities or persons without notice. In the three years prior to dissolution, Prax Inc. has made zero distributions to stockholders.
