PUBLIC NOTIFICATION

PUBLIC NOTIFICATION NOTICE IS HEREBY GIVEN, pursuant to Section 109.34(F) of the Ohio Revised Code, that Adena Health System, an Ohio nonprofit tax-exempt corporation, proposes to consummate a "nonprofit combination" within the meaning of Section 109.34 with Fairfield Medical Center, an Ohio nonprofit tax-exempt corporation, whereby Adena will become the sole corporate member of Fairfield Medical Center. Fairfield Medical Center operates inpatient and outpatient hospital locations in Fairfield, Ohio. Upon the closing of the transactions contemplated by the parties' agreement, which is expected to be September 1, 2026, Fairfield Medical Center will continue its operations in Fairfield County without interruption.
