PUBLIC NOTICE
NOTICE OF ENACTMENT OF AN ORDINANCE
AUTHORIZING THE ISSUANCE OF NONELECTORAL DEBT
NOTICE IS HEREBY GIVEN that the Borough Council of the Borough of East Stroudsburg, Monroe County, Commonwealth of Pennsylvania (the "Borough"), at the regular public meeting on February 17, 2026, enacted Ordinance No. 1425 (the "Ordinance"), which authorized the incurrence of nonelectoral debt in the aggregate principal amount of $4,028,000 by the issuance by the Borough of its General Obligation Note, Series of 2026 (the "2026 Note").
The Ordinance authorized the private sale of the 2026 Note to Manufacturers and Traders Trust Company, as purchaser (the "Note Purchaser"), at a purchase price equal to the initial principal amount of the 2026 Note. The 2026 Note shall bear interest at a fixed rate of 3.52% until maturity on December 1, 2032, and the principal of the 2026 Note shall amortize through annual mandatory sinking fund redemptions on each December 1, commencing December 1, 2027. The authorized amortization schedule was included in the exhibits to the Ordinance.
The 2026 Note is a general obligation of the Borough, and its officers are directed under the Ordinance to do all acts necessary and proper for the issuance of the 2026 Note, including the publication of this Notice.
The Ordinance was amended during final passage as follows:
Section 1 of the Ordinance was amended to reflect the estimated useful lives of the capital equipment to be purchased from proceeds of the 2026 Note, which estimates are based upon cost estimates provided by the Borough Manager based upon prior experience. Section 1 was further amended to clarify that principal repayments will not be deferred.Section 2 was amended to change the semi-annual interest payment dates from April 1 and October 1, commencing October 1, 2026, to June 1 and December 1, 2026, commencing December 1, 2026, in accordance with the terms of the proposal from the Note Purchaser accepted by the Borough.Section 3 was amended to appoint Manufacturers and Traders Trust Company as sinking fund depository and paying agent for the 2026 Note.Section 9 of the Ordinance was amended to include a direction to the Borough Manager to submit required legal advertisements prior to, and subsequent to, enactment of the Ordinance.
In accordance with the Pennsylvania Local Government Unit Debt Act, a copy of the final text of the Ordinance, as enacted above, may be examined by any citizen in the Office of the Secretary of the Borough, located in the East Stroudsburg Municipal Building, 24 Analomink Street, East Stroudsburg, Pennsylvania, Monday through Friday between the hours of 8:00 A.M. and 5:00 P.M, prevailing time.
