NOTICE OF PROPOSED ACTION Notice is hereby given that at a meeting beginning at 6:00 p.m. on Tuesday, October 7, 2025, in the City Council Chambers of Prattville City Hall of the City Council of the City of Prattville, Alabama (the "City"), the City will consider a resolution concerning the proposed execution, on behalf of the City, of a project agreement (the "Agreement") with Owens Corning Roofing and Asphalt, LLC, a Delaware limited liability company ("Owens Corning"), the City, Autauga County, Alabama (the "County) and the Water Works Board of the City of Prattville, Alabama (the "Board"), under the terms of which Owens Corning plans to establish within the City a manufacturing facility to manufacture and market insulation, roofing and fiberglass composites (the "Project"). The Project is expected to result in the creation of at least 89 new full-time jobs, additional capital investment of approximately $325,000,000, and additional tax revenue to the City. As specified in the Agreement, the public funds and things of value to be granted to Owens Corning by the City will consist of (i) an abatement of non-educational ad valorem property taxes on personal and real property associated with the Project for a period of ten (10) years; (ii) an abatement of non-educational sales and use taxes and similar taxes related to Project construction; (iii) an abatement of deed, mortgage and all other similar recording taxes with respect to the Project; (iv) waiver of any fees associated with (a) the granting of or preparation of documents for the tax abatements, (b) site plan review, (c) building plan review, (d) grading permit, (e) land subdivision application, (f) initial impact or tap fees for the Project's initial wastewater connection and initial water service and (g) tap fees for a four inch line; (v) the entering into of a ground lease for real property related to the Project for less than fair market value; (vi) the transfer of title by the City to real property related to the Project for less than fair market value; (vii) the entering into of a lease for office space during the construction of the Project for less than fair market value; (viii) payment assistance and in-kind contributions by the City for initial hiring of employees to develop the Project; (ix) certain in-kind contributions by the City related to rail line improvements; and (x) certain in-kind contributions and direct payments by the City related to infrastructure improvements. The incentives that the City proposes to make available to Owens Corning are provided in accordance with Amendment No. 772 to the Constitution of Alabama (1901), which authorizes the City to lend its credit to or grant public funds and things of value in aid of or to any corporation or other business entity for the purpose of promoting the economic development of the City. The public benefits sought to be achieved by the proposed grant of public funds under the Agreement are the promotion and advancement of local economic and commercial development and the stimulation of the local economy; an increase in employment opportunities within the City; an expansion of the City's tax base, which will result in significant additional tax revenues for the City; an increase in tax revenues for the schools operating in the City; and the expansion and retention of industrial and commercial enterprises in the City, all of which inure directly to the economic health and public welfare of the City and its residents. Members of the public are invited to attend the meeting and submit comments regarding the actions that the City Council is considering with respect to the Agreement described in this Notice.
