NOTICE OF HEARING
In the Matter of the Proposed Reorganizations of Montgomery Mutual Insurance Company, Liberty Mutual Mid-Atlantic Insurance Company, and Patrons Mutual Insurance Company of Connecticut Docket No. F2025-02
Montgomery Mutual Insurance Company, a Massachusetts domestic mutual insurance company, Liberty Mutual Mid-Atlantic Insurance Company, a Massachusetts domestic mutual insurance company, and Patrons Mutual Insurance Company, a Massachusetts domestic mutual insurance company (the "Applicants"), have applied to the Massachusetts Commissioner of Insurance (the "Commissioner") for approval of proposed reorganizations as domestic stock insurance company subsidiaries of Liberty Mutual Holding Company, Inc., a Massachusetts mutual holding company, pursuant to M.G.L. c. 175, § 19T(a), including § 19F et. seq.
Section 19H(c) of M.G.L. Chapter 175 requires the Commissioner to conduct a hearing to consider the reasons and purposes for the reorganizations, the fairness of the terms and conditions of the reorganization plans, and whether the reorganizations are in the best interests of the Applicants, fair and equitable to the Applicants' policyholders, and not detrimental to the insuring public.
The hearing on this matter will be conducted virtually using TEAMS, a digital meeting program, on November 18, 2025 at 1:00 p.m. The hearing will be conducted pursuant to Division of Insurance Regulation 211 CMR 144.00.
Any person who wishes to participate in the hearing by offering an oral or written statement must submit electronically to doidocket.mailbox@mass.gov, on or before November 12, 2025, a Notice of Intent to Participate. The Notice must include the person's name, status, telephone number and email address. Persons who do not intend to participate but who wish to attend the public hearing also must register to attend by sending an email including their name, telephone number and email address to doidocket.mailbox@mass.gov no later than November 14, 2025. Any person who wishes to intervene in the hearing must submit electronically to doidocket.mailbox@mass.gov, on or before October 9, 2025, a Petition for Leave to Intervene in accordance with 211 CMR 144.07(3). All Notices of Intent to Participate, requests to attend and Petitions for Leave to Intervene must refer to
Docket No. F2025-02.
An email with instructions for joining the hearing virtually will be sent by 12:00 on November 17, 2025 to those persons who have filed Notices, requests or Petitions.
