NOTICE OF PUBLIC HEARING
NOTICE IS HEREBY GIVEN that a public hearing pursuant to Section 859-a of the N.Y. General Municipal Law (the "Public Hearing") will be held by the Dutchess County Industrial Development Agency (the "Agency") on the 8th day of December, 2025 at 9:30 a.m., local time, at the Town of Hyde Park Town Hall, 4383 Albany Post Road, Hyde Park, New York 12538, in connection with the following matters:
T-REX HYDE PARK OWNER, LLC, a Delaware limited liability company authorized to do business in New York with offices c/o PKF O'Connor Davies, LLP, 500 Mamaroneck Avenue, Suite 301, Harrison, New York 10528 (the "Master Company") previously submitted an application to the Agency for financial assistance to finance a project (the "Master Project") in connection with the construction, improvement, reconstruction, repair, renovation, installation, furnishing and equipping of a certain mixed-use commercial facility (the "Master Facility") in multiple phases, known as "Bellefield 2023 Project - Phase 2" which financial assistance was approved by resolution dated August 25, 2023.
By letter dated October 28, 2025, the Master Company and STERLING HYDE PARK ASSOCIATES, LLC, a New Jersey limited liability company authorized to do business in New York with offices c/o Sterling Properties Group, LLC, 50 East Mount Pleasant Avenue, Livingston, New Jersey 07039 (the "Company") have requested that the Agency approve the assignment of a portion of the Master Project and allocation of a portion of the benefits previously granted to the Master Company to the Company in connection with one phase of the Master Project (the "Lot 8 Project") consisting of (a) the construction, improvement, installation, furnishing and equipping of approximately 341 residential rental units situated in one or more residential apartment buildings with a total aggregate square footage of approximately 395,445 square feet of residential space, together with associated parking, internal roadways, utility infrastructure and related site improvements on the Land (the "Improvements"), situated on an approximately 8.55-acre parcel of land located at 15 W. Dorsey Lane in the Town of Hyde Park, Dutchess County, New York (the "Land"), and (b) the acquisition and installation of new equipment, machinery and other personal property for use in the premises described above (the "Equipment"; and together with the Land and the Improvements, the "Lot 8 Facility"), which Lot 8 Facility will be leased by the Agency to the Company and which is to be further subleased by the Company to future residential rental tenants. The Lot 8 Facility will be initially owned, operated and/or managed by the Company.
The Agency shall appoint the Company as its agent for the purpose of the construction, improvement, reconstruction, repair, renovation, installation, furnishing and equipping of the Lot 8 Facility as defined above. The Agency proposes to acquire an interest in the Lot 8 Facility and lease the Lot 8 Facility to the Company, which will sublease the Lot 8 Facility as described above. At the end of the lease term, the Company will acquire the interest in the Lot 8 Facility from the Agency.
The Agency is contemplating providing financial assistance (the "Lot 8 Financial Assistance") to the Company with respect to the Lot 8 Facility by granting a real property tax exemption and providing for payments in lieu of real property taxes. The Lot 8 Financial Assistance will also include an exemption from all state and local sales and use taxes with respect to the qualifying personal property included within the Lot 8 Facility or used in the construction, improvement, reconstruction, repair, renovation, installation, furnishing and equipping of the Lot 8 Facility and an exemption from all real estate transfer taxes and mortgage recording taxes with respect to any qualifying mortgage on the Lot 8 Facility (or such interest in the Lot 8 Facility as is conveyed to the Agency) to secure the financial assistance and/or any other indebtedness incurred by or for the benefit of the Company in connection with the Lot 8 Project. Such Lot 8 Financial Assistance will be allocated from a portion of the financial assistance which the Agency has granted to the Master Company for the Master Project. No new benefits will be granted in connection with the Lot 8 Project.
The Agency will at the above-stated time and place hear all persons with views in favor of or opposed to the issuance of the Lot 8 Financial Assistance described above or the location or nature of the Lot 8 Project. Interested parties may present their views both orally and in writing with respect to the Lot 8 Project. A copy of the Company's application will be available for review by the public upon request to the Agency.
