Roll Call/Call to Order President Russ Eimers called the meeting to order at 10:31 am. Also in attendance: Eric McEwan, Traer; Doug Collins; and Matt Harward, Healy Law Offices. II. Actions Taken Actions taken below were approved unanimously unless otherwise stated. Pat Stief motioned to approve Resolution 2025-05, as amended (see below). Jake Froehlich seconded. RESOLUTION NO. 2025-05 RESOLUTION AUTHORIZING RESALE POWER GROUP OF IOWA OFFICERS, STAFF AND ACCOUNTING FIRM (MOORE, BEAUSTON & WOODHAM) TO EXERCISE CERTAIN POWERS REGARDING RESALE POWER GROUP OF IOWA BANK ACCOUNTS AND FINANCIAL ACTIVITIES OF THE RESALE POWER GROUP OF IOWA AND REPEALING RESOLUTION IN CONFLICT. WHEREAS, the Resale Power Group of Iowa (Federal IS 39-1889941) Administrative Board has Updated the list of individuals that have authority to exercise certain financial and bank powers; and WHEREAS, the Resale Power Group of Iowa's Bylaws dated October 25, 2012, requires all checks to be signed by two signatories, including the President and Chief Administrative Officer, which Chief Administrative Officer is currently an open position; WHEREAS, the Resale Power Group of Iowa Administrative Board has appointed the accounting firm of Moore, Beauston & Woodham, LLC to perform certain financial and bank duties previously performed by the Chief Administrative Officer; WHEREAS, in the absence of a Chief Administrative Officer, the Resale Power Group of Iowa Administrative Board with this resolution shall designate additional signatories to satisfy the Bylaw requirement for two signatories on all checks; and WHEREAS, Resale Power Group of Iowa Administrative Board will allow the following agents as listed below the authority to exercise the power granted below; NOW THEREFORE, BE IT RESOLVED BY THE ADMINISTRATIVE BOARD OF THE RESALE POWER GROUP OF IOWA: Midwest One Bank Account Management: Russell J.
