NOTICE OF DISSOLUTION March 6, 2026
TO ALL CREDITORS AND PERSONS HAVING CLAIMS AGAINST SULLIVAN, INCORPORATED, a South Dakota corporation in dissolution:
PLEASE TAKE NOTICE that, pursuant to provisions of Section 47-1A-101 et seq. of South Dakota Business Corporations Act (the "Act"), the board of directors and shareholders of Sullivan, Incorporated, a South Dakota corporation (the "Corporation") consented to the dissolution of the Corporation and the Corporation thereafter filed articles of dissolution with the Secretary of State of the State of South Dakota on February 9, 2026. Thus, the Corporation has been dissolved and the period for winding up its affairs has begun. The Corporation is furnishing this notice pursuant to the notice procedures set forth in Section 47-1A-1407 of the Act.
Under Section 47-1A-1407 of the Act, a dissolved corporation may publish notice of its dissolution to and request that persons with claims against the corporation present them in accordance with the notice. Such notice must (i) describe the information that must be included in a claim, (ii) provide a mailing address where the claim may be sent, and (iii) state that a claim against the dissolved corporation will be barred unless a proceeding to enforce the claim is commenced within three years after the publication of the notice. THIS NOTICE CONSTITUTES THE NOTICE CONTEMPLATED BY SECTION 47-1A-1407 OF THE ACT.
Accordingly, if you believe you have a claim for payment or equitable relief against the Corporation, you should promptly submit such claim in accordance with the procedures set forth below:
a. All claims must be presented in writing and must contain sufficient information reasonably to inform the Corporation of the identity of the claimant and the substance and extent of, and any security or collateral securing, the claim.
b. Claims and supporting documentation should be sent to the following address: Sullivan, Incorporated c/o Novo Advisors, 200 W. Madison St., Suite 1000, Chicago, IL 60606.
c. All claims should be received at the address listed above on or before March 6, 2029.
A claim against the Corporation is barred unless a proceeding to enforce the claim is commenced within 3 years after publication of the notice.
THE CORPORATION RESERVES THE RIGHT TO CONTEST, IN WHOLE OR IN PART, ANY CLAIM SUBMITTED TO IT IN RESPONSE TO THIS NOTICE. This notice does not revive any claim barred or subject to a statute of limitations as of the date hereof or any date after the date hereof, nor does it constitute acknowledgment that you are a proper claimant of the Corporation. This notice does not operate as a waiver of any defense or counterclaim that any of the Corporation may have in respect of any claim asserted by you.
