Notice of Proposed Transaction
NOTICE IS HEREBY GIVEN pursuant to Section 2(a)(1) of the Community Health Care Assets Protection Act (L. 2000, c. 143) (the “Act”) of the filing of an application with the Office of the Attorney General of the State of New Jersey with respect to a proposed transaction involving Englewood Healthcare Foundation, d/b/a Englewood Health (“Englewood”). Englewood is the parent company of an integrated health care system comprised of a network of subsidiaries and affiliates, including Englewood Hospital and Medical Center, Inc. d/b/a Englewood Hospital (“EHMC”). EHMC owns and operates an acute care hospital in Englewood, New Jersey.
Proposed Transaction: Englewood and RWJ Barnabas Health, Inc., d/b/a RWJBarnabas Health, a New Jersey nonprofit corporation (“RWJBH”) have entered into an Affiliation Agreement pursuant to which RWJBH will become the sole corporate member of EHMC through a member substitution, and, simultaneously, Englewood will be merged into EHMC, whereupon the separate existence of Englewood shall cease and EHMC shall be the surviving corporation (the “Proposed Transaction”). RWJBH is the parent of a nonprofit academic health system that, through its subsidiaries, affiliates and controlled entities, owns and operates licensed, general acute care hospitals and other healthcare facilities, located throughout the State of New Jersey. RWJBH is an established academic health care system with a service area in New Jersey covering five million people. Notice of the Proposed Transaction has been provided to the New Jersey Department of Health. Pursuant to the Affiliation Agreement, RWJBH has made certain financial commitments with respect to Englewood, as well as a commitment to the continued operation of EHMC as an acute care tertiary hospital that is a separate legal entity with its own Board of Trustees for 10 years.
Parties: The parties to the Proposed Transaction are Englewood and RWJBH. Each of the parties is a New Jersey nonprofit corporation.
Application: The application filed by Englewood with the Attorney General contains a general description of the Proposed Transaction and the purpose thereof, which generally is for RWJBH to become the sole corporate member of EHMC in order to enhance the ability of EHMC and its surviving affiliates to deliver care to the communities it serves in a broader way, with greater resources and more cutting-edge technologies available. The application includes copies of certain relevant materials, a copy of the agreement between the parties, corporate articles and bylaws, organizational charts, and financial and other information.
Availability of Information: In accordance with the provisions of the Act, copies of the application and materials provided by the parties are available for inspection at the New Jersey Department of Law and Public Safety, at the location described below and at no cost to the public.
Public Hearing: A public hearing on Englewood’s application will be held in Bergen County on a date to be announced. At such public hearing, any person may file written comments or exhibits or appear and make a statement. The public hearing shall be held no later than 60 days after the date that Englewood’s application is deemed complete by the Attorney General. Public notice of the hearing shall be provided at least two weeks in advance of the date of the hearing.
Comments: Members of the public are invited to submit written comments on the application at any time prior to the seventh day following the date of the public hearing, to:
