LEGAL NOTICE NOTICE OF NONPROFIT COMBINATION BETWEEN NONPROFIT HEALTH CARE ENTITIES Pursuant to Ohio Revised Code Section 109.34, notice is hereby given that Trinity Hospital Holding Company, an Ohio nonprofit corporation ("THHC"), Trinity East, an Ohio nonprofit corporation ("Trinity East"), Trinity West, an Ohio nonprofit corporation ("Trinity West"), Trinity Hospital Twin City, an Ohio nonprofit corporation ("THTC"), and UPMC Trinity, an Ohio nonprofit corporation ("UPMC Trinity"), intend to enter into a transaction that may constitute a "nonprofit combination" within the meaning of Section 109.34(G) of the Ohio Revised Code. At the closing of the transaction, UPMC Trinity and certain of its affiliates will acquire certain assets of THHC, Trinity East, Trinity West, THTC, and certain of their affiliates pursuant to and in accordance with the terms and conditions of an Asset Purchase Agreement.
