WHEREAS, Home Capital, LLC, a Tennessee Limited Liability Company ("Owner/Debtor"), is record owner of the real property described below, with the following address: 16 Rutledge Street, Nashville, Davidson County, Tennessee 37210 (the "Property"),
Land in Davidson County, Tennessee, being Restaurant Unit, as established by the Master Deed or Declaration of City Lights Condominiums ("Master Deed") of record in Instrument No. 20190408-0031675, as amended in amendment of record as Instrument No. 20190501-0040417, further amended by amendment of record as Instrument No. 20190508-0043149, and further amended by amendment of record as Instrument No. 20190711-0067872 and as amended and restated in Instrument No. 20200108-0002612 and as amended and restated in Instrument No. 20220816-0092835 and Instrument No. 20220816-0092836, Register's Office for Davidson County, Tennessee, said Units being depicted on the Site Plan attached as Exhibit C to the aforementioned Master Deed, to all of which reference is hereby made for a more complete description, together with an undivided percentage interest in the Common Elements.
Being a portion of the same property conveyed to RUTLEDGE DEVELOPMENT, LLC, A TENNESSEE LIMITED LIABILITY COMPANY, by deed from LEON MAY, EXECUTOR OF THE ESTATE OF MINSYE S. MAY, DECEASED, of record in Instrument No. 20150130-0009142, dated January 30, 2015, said Register's Office.
Being a portion of the same property conveyed to RUTLEDGE DEVELOPMENT, LLC, A TENNESSEE LIMITED LIABILITY COMP ANY, by quitclaim deed from RUTLEDGE DEVELOPMENT, LLC, A TENNESSEE LIMITED LIABILITY COMPANY, of record in Instrument No. 20150901-0088890, dated September 1, 2015, said Register's Office.
WHEREAS, the Amended and Restated Master Deed or Declaration of City Lights Condominiums ("Amended Master Deed"), filed with the Davidson County Register of Deeds on August 16, 2022, record no. 20220816-0092835, provides, in part,
The Association has a lien on each Condominium Parcel for any unpaid Assessments on such Parcel, interest thereon and reasonable attorneys' fees and costs incurred by the Association incident to the collection of the Assessments or enforcement of the lien. Except as set forth below or prohibited by law, the lien is effective from, and shall relate back to, the date of the recording of this Declaration. However, as to first mortgages of record, the lien is effective from and after recording of a claim of lien. The lien shall be evidenced by a claim of lien recorded in the Register's Office for the County, stating the description of the Condominium Parcel, the name of the record Owner, the amount due, and the due dates. The claim of lien shall not -be released until all sums secured by it ( or such other amount as to which the Association shall agree by way of settlement) have been fully paid or until it is barred by law. The claim of lien shall secure (whether or not stated therein) all unpaid Assessments, interest thereon and costs and attorneys' fees which are due and which may accrue subsequent to the recording of the claim of lien and prior to the entry of a final judgment of foreclosure thereof. A claim of lien shall be signed and acknowledged by an officer or agent of the Association. Upon payment, the person making the payment is entitled to a satisfaction of the lien in recordable form. The Association may bring an action in its name to foreclose a lien for unpaid Assessments in the manner a mortgage of real property is foreclosed and may also bring an action at law to recover a money judgment for the unpaid Assessments without waiving any claim of lien. The Association is entitled to recover its reasonable attorneys' fees incurred for collection of the unpaid Assessments, including without limitation, pre-suit collection efforts, lien foreclosure action or an action to recover a money judgment for unpaid Assessments and any appellate or bankruptcy proceedings;
§ 13.3
WHEREAS, default has occurred by failure to comply with the terms and conditions of the Amended Master Deed, and the unpaid assessment has been declared due and payable as provided in the Amended Master Deed, and the unpaid assessment has not been paid; and
WHEREAS, pursuant to the Assessment Collection Policy, the City Lights Condominium Association, Inc. (the "Association") has provided Notice to the Owner setting forth the amount due including the assessment plus interest at the rate of 10% per annum from the date the assessment was due, plus penalties, administrative costs, and legal fees and expenses; and
WHEREAS, the Association filed a Notice and Claim of Lien with the Davidson County Register of Deeds on June 23, 2025, record no. 20250623-0048829, for the unpaid assessment related to the Property; and
WHEREAS, the Amended Master Deed further provides, in part,
Notice of Intention to Foreclose Lien. No foreclosure shall be completed unless the Association gives written notice to the Unit Owner of its intention to foreclose its lien to collect the unpaid Assessments in accordance with the requirements of Tennessee Code Annotated §35-5-101 et seq. (as such statute may hereinafter be amended). The notice must be given by delivery of a copy of it to the Unit Owner or by certified or registered mail, return receipt requested, addressed to the Unit Owner at the last known address, and upon such mailing, the notice shall be deemed to have been given. If after diligent search and inquiry the Association cannot find the Unit Owner or a mailing address at which the Unit Owner will receive the notice, the Association may proceed with the completion of the foreclosure action in accordance with the foregoing statutory requirements.
§ 13.4.
WHEREAS, the Association, has demanded that the Property be advertised and sold in satisfaction of the unpaid assessment and related interest, penalties, administrative costs, and legal fees and expenses and the costs of foreclosure, in accordance with the terms of the Amended Master Deed; and
WHEREAS, Urbangate Capital, LLC, holds a security interest in the Property, by Deed of Trust, Assignment of Rents and Leases, Security Agreement and Financing Statement, recorded with the Davidson County Register of Deed on July 23, 2025, record no. 20250723-0058095; and
WHEREAS, a Deed of Trust was entered by and between Home Capital, LLC, a Tennessee limited liability company and Rutledge Development, LLC, recorded with the Davidson County Register of Deeds on July 23, 2025, record no. 20250723-0058096.
NOW, THEREFORE, notice is hereby given that Harris Andrew Decker, Vice President of the Board of Directors of the Association, pursuant to the power, duty and authority vested in and imposed upon him in the Amended Master Deed, on October 8, 2025, at 9:00 AM, at the 16 Rutledge Street, in Davidson County, Nashville, Tennessee 37210, shall offer for sale to the highest and best bidder for cash, the Property situated in Davidson County, Tennessee, described herein, together with any and all declarations of covenants conditions and restrictions, or the Amended Master Deed and any amendments thereto.
Said sale will be subject to any and all unpaid ad valorem taxes (plus penalty and interest, if any) that may be a lien against the Property and subject to any and all liens, defects, encumbrances, adverse claims, and other matters which take priority over the Deed of Trust upon which this foreclosure sale is had, including, but not limited to, prior deeds of trust, fixture filings, easements, restrictions, building lines, and recorded Plans and subject to any statutory rights of redemption not otherwise waived in the Deed of Trust, including rights of redemption of any governmental agency, state or federal, which have not been waived by such governmental agency. Said sale is also subject to matters which an accurate survey of the Property might disclose.
