NOTICE OF INTENT TO SELL BONDS
$16,990,000 PLAINFIELD REDEVELOPMENT AUTHORITY
LEASE RENTAL REVENUE BONDS OF 2025
(FIRE STATION 124 PROJECT)
Upon not less than twenty-four (24) hours' notice given by or on behalf of the Plainfield Redevelopment Authority (the "Authority"), the Authority will receive separate electronic and sealed bids at the offices of the Authority's Municipal Advisor, Baker Tilly Municipal Advisors, LLC (the "Municipal Advisor"), and shall consider bids for the purchase of bonds of the Authority consisting of the "Lease Rental Revenue Bonds of 2025 (Fire Station 124 Project)" (the "Bonds"), in the aggregate principal amount of Sixteen Million Nine Hundred Ninety Thousand Dollars ($16,990,000).
Any person interested in submitting a bid for the Bonds must furnish in writing to the Authority, in the care of the Controller of the Town of Plainfield, Indiana, Baker Tilly Municipal Advisors, LLC (the "Municipal Advisor"), 9229 Delegates Row, Suite 400, Indianapolis, Indiana 46240 telephone: (317) 465-1500, or by e-mail to bids@bakertilly.com, on or before 10:00 A.M. (Indianapolis Time, same as Eastern Time (ET)) October 16, 2025, the person's name, address and telephone number. The person may also furnish an e-mail address. The Authority will cause each person so registered to be notified of the date and time bids will be received, not less than twenty-four (24) hours before the date and time of the sale. The notification shall be made by telephone at the number furnished by such person or by e-mail, if an e-mail address has been furnished.
If a potential bidder has questions related to the Authority, the financing or submission of bids, questions should be submitted by email to the addresses above no later than two business days before sale by 11:30 a.m. (ET) (the sale is anticipated to occur on October 16, 2025). To the best of the Authority's ability, all questions will be addressed by the Authority and sent to potential bidders, including any bidders requesting 24 hours' notice of sale, no later than two business days prior to the sale by 5:00 p.m. (ET). Additionally, upon request, the written responses will be emailed to any other interested bidder. Bidders should review this notice as well as the official statement and submit any questions in advance of this deadline to submit questions.
The Authority anticipates the sale of the Bonds to occur on October 16, 2025 at 11:00 a.m. (ET). The notification shall be made by telephone at the number furnished by such person or by e-mail, if an e-mail address has been furnished. Bids may also be submitted electronically via PARITY in accordance with this notice. To the extent any instructions or directions set forth in PARITY conflict with this notice, the terms of this notice shall control. As an alternative to submitting a bid via PARITY, bidders may submit a sealed or emailed bid to the Municipal Advisor at the email address described above until 11:00 a.m. (ET), on the date identified in the notice given by, or on behalf, of the Authority, twenty-four hours prior to the sale of the Bonds. Upon completion of the bidding procedures described herein, the results of the sealed, non-electronic bids received shall be compared to the electronic bids received by the Authority.
The bid must be for all of the Bonds and must state the rate or rates of interest which the Bonds are to bear, with the rate not exceeding six percent (6.0%) per annum. Such interest rate or rates shall be in multiples of one-eighth (1/8), one-twentieth (1/20) or one-hundredth (1/100) of one percent (1.00%). Bids specifying more than one interest rate shall also specify the amount and maturities of the Bonds bearing each rate, but all Bonds maturing on the same date shall bear the same single interest rate. Subject to the provisions contained herein, the award will be made to the bidder offering the lowest True Interest Cost (defined below) to the Authority. The "True Interest Cost" rate is that rate which, when used to compute the total present value as of the date of delivery of the Bonds of all debt service payments on the Bonds on the basis of semiannual compounding, produces an amount equal to the sum of the par value of the Bonds minus any premium bid plus any discount.
No conditional bid or bids for less than ninety-nine percent (99.0%) of the par value of the Bonds shall be considered. The right is reserved to reject any and all bids. In the event an acceptable bid is not received on the date fixed for sale of the Bonds, the Controller shall be authorized to continue the sale from day-to-day thereafter without re-advertisement to negotiate the sale of the Bonds.
Interest on the Bonds shall be calculated on the basis of twelve (12) thirty (30)-day months for a three hundred sixty (360)-day year, and will be payable on February 1 and August 1, of each year with interest commencing no earlier than August 1, 2026, by wire transfer in same day funds or check or draft mailed one day prior to the payment date to the owner, in whose name such Bond is registered at the close of business on the fifteenth day of the calendar month prior to such interest payment date. Principal and premium, if any, on the Bonds will be payable at the principal corporate trust office of U.S. Bank Trust Company National Association, Indianapolis, Indiana, as the registrar and paying agent (the "Registrar" and "Paying Agent"), for the Bonds.
The Bonds shall bear an original issue date which shall be the date of issuance, and will be issued in fully registered form in the denomination of Five Thousand Dollars ($5,000) each and whole multiples thereof. The Bonds will mature semiannually on February 1 and August 1 beginning no earlier than August 1, 2026 and ending no later than twenty (20) years from the date of issuance of the Bonds. The final aggregate principal amount of the Bonds and the principal maturity schedule for the Bonds will be provided to registered bidders at least twenty-four (24) hours before the scheduled time of the bond sale.
The Bonds maturing on or after August 1, 2035 are redeemable prior to maturity at the option of the Authority in whole or in part in any order of maturity as determined by the Authority and by lot within maturities, on any date not earlier than February 1, 2035, at face value plus accrued interest to the date fixed for redemption and without any redemption premium.
All or a portion of the Bonds may be issued as one or more term bonds, upon election of the successful bidder. The term bonds shall be subject to mandatory sinking fund redemption and final payment(s) at maturity at 100% of the principal amount thereof, plus accrued interest to the redemption date on dates consistent with the above schedule.
Bidders may change and submit bids as many times as they wish during the sale, but they may not withdraw a submitted bid. The last bid submitted by a bidder prior to the deadline for the receipt of the bids will be compared to all other final bids to determine the winning bid. During the sale, no bidder will see any other bidder's higher bid, nor will they see the status of their bid relative to the other bids (e.g. whether their bid is a leading bid).
Each non-electronic bid submitted shall be sealed in an envelope marked "Bid for Plainfield Redevelopment Authority Lease Rental Revenue Bonds of 2025 (Fire Station 124 Project)". The bid must be on the form approved by the Authority (the "Official Bid Form"), without additions, alterations or erasures. At the election of the Town of Plainfield, Indiana, a good faith deposit ("Deposit") in the amount of one percent (1%) ($16,990,00.00) of the principal amount of the Bonds sold to such successful bidder shall be provided to the Authority by wire transfer by the purchaser (the "Purchaser") not later than 3:30 p.m. (ET) on the next business day following the award. Wire instructions will be provided to the Purchaser of the Bonds after the Bonds are awarded. In the event the bidder to whom the Bonds are awarded shall fail or refuse to accept delivery of the Bonds and pay for the same at the time fixed in this notice, such Deposit and the proceeds thereof shall become the property of the Authority and shall be considered as its liquidated damages on account of such default.
At the time designated for the sale, the Authority will receive at the offices of Baker Tilly Municipal Advisors, LLC, 9229 Delegates Row, Suite 400, Indianapolis, Indiana 46240, and consider separate electronic and sealed bids for the purchase of the Bonds, which will be originally dated the date of delivery (expected to be November 6, 2025).
In order to assist bidders in complying with S.E.C. Rule 15c2-12(b)(5), the Plainfield Redevelopment Commission (the "Commission") will undertake to provide certain annual financial information and notices of the occurrence of certain events, if material. A description of this undertaking is set forth in the Preliminary Official Statement (as hereinafter described) and will also be set forth in the Final Official Statement (as hereinafter described).
The sale of the Bonds will be awarded to the bidder making a bid that conforms to the specifications herein and which produces the lowest True Interest Cost rate to the Authority. In the event of a bidder's error in interest cost rate calculations, the interest rates and premium, if any, set forth or incorporated by reference in the Official Bid Form will be considered as the intended bid.
The Authority reserves the right to amend any information contained in this Notice of Intent to Sell. The Authority also reserves the right to postpone, from time to time, the date established for the receipt of bids on the Bonds. If any date fixed for the auction is postponed, any alternative sale date will be announced at least twenty-four (24) hours prior to such alternative sale date.
The successful bidder shall make payment for the Bonds in Federal Reserve or other immediately available funds and accept delivery of the Bonds within five (5) days after being notified that the Bonds are ready for delivery at a location designated by the Authority. Any premium bid must be paid in cash at the time of delivery as part of the purchase price of the Bonds. The Bonds will be ready for delivery within forty-five (45) days after the date on which the award is made, and if not deliverable within that period, the successful bidder will be entitled to rescind the sale and the good faith check will be returned. Any notice of rescission must be in writing.
The Bonds will be issued by means of book-entry only system with no physical distribution of bond certificates made to the public. One bond certificate for each maturity will be issued to and registered in the name of Cede & Co., as nominee of The Depository Trust Company, New York, New York ("DTC"), and immobilized in its custody. The successful bidder, as a condition of delivery of the Bonds, shall be required to deposit the bond certificates with DTC, registered in the name of Cede & Co., nominee of DTC.
It is anticipated that CUSIP identification numbers will be printed on the Bonds but neither the failure to print such numbers on any Bonds nor any error with respect thereto shall constitute cause for failure or refusal of the successful bidder to accept delivery of and pay for the Bonds. No CUSIP identification numbers shall be deemed to be a part of any Bond or any part of the contract evidenced thereby and no liability shall hereafter attach to the Authority or any of its officials, employees or agents because of or on account of such numbers. All expenses in relation to the printing of the CUSIP identification numbers on the Bonds shall be paid for by the Authority; provided, however, that the CUSIP Service Bureau charge for the assignment of said numbers shall be the responsibility of and shall be paid for by the successful bidder. The successful bidder will also be responsible for any other fees or expenses it incurs in connection with the resale of the Bonds.
The unqualified approving opinion of Taft Stettinius & Hollister LLP, bond counsel, of Indianapolis, Indiana, together with a transcript of the proceedings relating to the issuance of the Bonds, a Continuing Disclosure Undertaking Agreement and closing certificates in a customary form showing no litigation will be furnished to the successful bidder at the expense of the Authority.
The Bonds are being issued under the provisions of Indiana Code 36-7-14.5 for the purpose of funding the acquisition and/or construction of certain public infrastructure improvements, together with expenses incurred in connection therewith, including the costs of the issuance of the Bonds. The Bonds will be payable out of lease rentals paid by the Commission pursuant to a lease with the Authority, which lease rentals are payable through a pledge of a special benefits tax (an ad valorem property tax) (the "Special Tax") to be levied on all taxable property in the Plainfield Redevelopment District (the "District") pursuant to IC 36-7-14-27. The boundaries of the District are coterminous with the boundaries of Plainfield, Indiana. The Commission may pay the lease rentals from any other revenues legally available to the Commission; provided, however, the Commission shall be under no obligation to pay any lease rentals or any other amounts due under the Lease from any moneys or properties of the Commission, except the Special Tax revenues received by the Commission.
In the opinion of bond counsel, under the federal statutes, decisions, regulations and rulings existing on this date, the interest on the Bonds is excludable from gross income for purposes of federal income taxation. The Bonds will be bank qualified. In the opinion of bond counsel, interest on the Bonds is exempt from income taxation in the State of Indiana.
The Authority has authorized the preparation and distribution of a Preliminary Official Statement containing pertinent information relative to the Authority and the Bonds. Such Preliminary Official Statement is in a form "deemed nearly final" by the Authority as of the date thereof, pursuant to Rule 15c2-12 of the Securities and Exchange Commission. For copies of the Preliminary Official Statement and the Official Bid Form or for any additional information prior to the sale, any prospective purchaser is referred to the Controller of Plainfield, Indiana, 206 West Main Street, Plainfield, Indiana, 46168, telephone number (317) 839-2561 or to the Municipal Advisor, Baker Tilly Municipal Advisors, LLC, 9229 Delegates Row, Suite 400, Indianapolis, Indiana, 46240.
The Preliminary Official Statement when further supplemented by an Addendum or Addenda specifying the interest rates on the Bonds, and any other information referred to in paragraph (b)(1) of Rule 15c2-12 of the Securities and Exchange Commission, shall constitute a "Final Official Statement" of the Authority with respect to the Bonds, as that term is defined in Rule 15c2-12. By awarding the Bonds to any underwriter or underwriting syndicate submitting an Official Bid Form therefore, the Authority agrees that, no more than seven (7) business days after the date of such award, it shall provide to the senior managing underwriter of the syndicate to which the Bonds are awarded up to ten (10) copies of the Final Official Statement at the Authority's expense, with any additional copies to be provided at the expense of the underwriting syndicate. The Authority designates the senior managing underwriter of the syndicate to which the Bonds are awarded as its agent for purposes of distributing copies of the Final Official Statement to each participating underwriter. Any underwriter or underwriting syndicate executing and delivering an Official Bid Form with respect to the Bonds agrees thereby that if its bid is accepted by the Authority (1) it shall accept such designation and (2) it shall enter into a contractual relationship with all participating underwriters of the Bonds for purposes of sharing the receipt of each such participating underwriter of the Final Official Statement.
The Bonds will be secured by a Trust Indenture to the Trustee and will be subject to the terms and provisions of the Trust Indenture. The term of the Lease relating to the Bonds will be no more than twenty (20) years. The Lease provides for a combined maximum annual payments in the amount of $2,040,000*, which rental is payable semiannually on January 15 and July 15 of each year. Each rental shall be payable in advance in semi-annual installments on January 15 and July 15 of each year, with the first rental installment due no earlier than July 15, 2026. The last semi-annual rental payment due before the expiration of this Lease shall be adjusted to provide for rental at the yearly rate so specified from the date such installment is due to the date of the expiration of this Lease. Rentals are payable from a pledge of the Special Tax to be levied on all taxable property in the District, which is coterminous with the Town of Plainfield, Indiana. The Commission may pay the lease rentals from any other revenues legally available to the Commission; provided, however, the Commission shall be under no obligation to pay any lease rentals or any other amounts due under the Lease from any moneys or properties of the Commission, except the Special Tax revenues received by the Commission.
