NOTICE OF MEETING AND PUBLIC HEARING
THE BOARD OF COMMISSIONERS OF THE METROPOLITAN DEVELOPMENT AND HOUSING AGENCY (the "Board") will meet in public session at 11:30 o'clock a.m., local time, on Tuesday, June 9, 2026 in the Collaboration Center at the offices of the Metropolitan Development and Housing Agency (the "Agency") located at 701 South Sixth Street, Nashville, Tennessee, for the purpose of considering and transacting all business which may properly come before the Board, such business to include, but not necessarily be limited to, the following:
1. Holding a public hearing as required by Section 147 of the Internal Revenue Code of 1986, as amended, with respect to the proposed issuance by the Agency of its revenue bonds in one or more series from time to time in the aggregate principal amount of not exceeding $30,000,000 for the benefit of Cannon x Lewis LP (the "Company"), a Tennessee limited partnership whose general partner will be a partnership in which the Agency, or a partnership, limited liability company or other entity controlled by the Agency, is a general partner, the proceeds of such bonds to be used by the Company for the purpose of financing the acquisition, construction, installation and equipping of an approximately 150 unit multifamily housing facility on approximately 3.5 acres bounded by Cannon Street, Claiborne Street, Lafayette Street and Lewis Street, with a current mailing address of 980 Cannon Street, Nashville, Davidson County, Tennessee 37210, and to pay costs of issuing such bonds. Such real property is currently owned by the Agency or an affiliate of the Agency, and it is anticipated that such real property will be leased by the Agency or an affiliate of the Agency to the Company, which will construct and install thereon the approximately 150 unit multifamily housing facility described herein (such leasehold interest in real property and the improvements and equipment constructed and installed thereon being referred to as the "Project"). The Project will be owned by the Company.
2. Considering the adoption of a resolution evidencing the Agency's official intent under Treasury Regulation § 1.150-2 to reimburse the Company from the proceeds of the bonds described in paragraph 1 above for expenditures incurred with respect to the Project within 60 days prior to the date of such resolution and to be incurred subsequent to the date of such resolution.
The bonds proposed to be issued as described herein will not constitute an indebtedness or obligation of the State of Tennessee or any county, municipal corporation or political subdivision thereof, including The Metropolitan Government of Nashville and Davidson County, but will be payable solely from revenues derived from the Company and pledged to the payment of such bonds.
At the public hearing described herein, there will be an opportunity for persons to express their views concerning the issuance of the bonds described herein and the nature and location of the proposed project to be financed with the proceeds of such bonds. Anyone may appear in person at such public hearing or submit written comments to be considered thereat.
