NOTICE OF PRIVATE LAND SALE – SANBORN COUNTY

Real Estate in Union Township, Sanborn County, SD, 160 acres, more or less, of land and improvements more particularly described as:
PARCEL 1: Northeast Quarter (NE ¼) of Section Twenty-two (22), Township One Hundred Six (106) North, Range Sixty (60), West of the 5th P.M., Sanborn County, South Dakota (160 acres more or less).

Written Bids must be received by Seller, c/o MorganTheeler LLP, P.O. Box 1025, 1718 N. Sanborn Blvd., Mitchell, South Dakota, 57301, on or before 5:00 p.m., on January 7, 2026. The highest bidders will then be invited to a Private Bid Conference where any of the bidders can raise the high bid on the parcel. The Private Bid Conference will be held on the 14th day of January, 2026, at 10:00 o'clock a.m. at 1718 North Sanborn Boulevard, Mitchell, South Dakota. (Attendance by telephone can be arranged). Written notices will be mailed after bid opening to notify all responsible bidders prior to the Conference. The final bids for the parcel will be accepted or rejected by the owner at the Private Bid Conference.
SELLER RESERVES THE RIGHT TO REJECT ANY OR ALL BIDS
Terms: If a bid is accepted the successful bidder must pay an earnest money deposit of 10% of the total bid when accepted at the Private Bid Conference with the balance paid in cash upon closing and delivery of the Warranty Deed. Seller will furnish title insurance with the cost of title insurance to be divided equally between Buyer(s) and Seller. Possession shall be given upon closing. Seller shall pay the 2025 real property taxes due and payable in 2026, and the 2026 real property taxes due and payable in 2027 prorated to the date of closing. Buyer(s) shall pay the prorated 2026 real property taxes due and payable in 2027 and all subsequent taxes. Closing shall be on or before February 1, 2026, unless extended by mutual agreement of the parties. Property is being sold subject to existing easements, reservations, and restrictions of record.

Buyer's Assumption of CRP Contract. The Buyer agrees that the Buyer will assume, and timely perform, the CRP Contract(s), if any, for the Real Estate for the period from and after the Date of Possession. The Buyer agrees to indemnify, and hold harmless, the Seller from all liability for the performance of the CRP Contract(s), if any, for the Real Estate from and after the Date of Possession. Additionally, the Buyer or the Seller shall receive all of the 2026 CRP payment.
