NOTICE OF PROPOSED ISSUANCE OF REDEVELOPMENT REVENUE BOND WEST PALM BEACH COMMUNITY REDEVELOPMENT AGENCY AND CITY OF WEST PALM BEACH, FLORIDA NOTICE OF PROPOSED ISSUANCE OF REDEVELOPMENT REVENUE BOND Notice is hereby given in accordance with the provisions of Sections 163.346 and 166.041(3)(a), Florida Statutes, as amended, that the Board of Commissioners of the West Palm Beach Community Redevelopment Agency (the "Agency") and the City Commission of the City of West Palm Beach, Florida (the "City") will, respectively, consider the adoption of the following resolutions providing for the issuance by the Agency of not to exceed $29,000,000 in principal amount of West Palm Beach Community Redevelopment Agency Tax Increment Revenue Bond, Taxable Series 2025 (City Center Community Redevelopment Area), at a meeting to be held on Tuesday, October 14, 2025 at 3:30 p.m., or as soon thereafter as the matter may be heard. The meeting will be held in the City Commission Chambers, 401 Clematis Street, West Palm Beach, Florida 33401 and any interested person may appear at the meeting and be heard with respect to the proposed resolutions. Copies of the proposed resolutions may be inspected by the public at the office of the City Clerk, 401 Clematis Street, West Palm Beach, Florida 33401 during regular working hours, 9:00 a.m. to 5:00 p.m., Monday through Friday. The titles of the proposed resolutions are as follows: AGENCY RESOLUTION A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE WEST PALM BEACH COMMUNITY REDEVELOPMENT AGENCY AUTHORIZING ISSUANCE OF NOT TO EXCEED $29,000,000 IN PRINCIPAL AMOUNT OF WEST PALM BEACH COMMUNITY REDEVELOPMENT AGENCY TAX INCREMENT REVENUE BOND, TAXABLE SERIES 2025 (CITY CENTER COMMUNITY REDEVELOPMENT AREA), FOR THE PURPOSES OF FINANCING THE SERIES 2025 CCCRA REDEVELOPMENT PROJECT, FUNDING A DEPOSIT TO THE CCCRA DEBT SERVICE RESERVE SUBACCOUNT AND PAYING COSTS OF ISSUANCE, ALL PURSUANT TO SECTION 304(g) OF RESOLUTION NO. 06-93 ADOPTED BY THE AGENCY ON NOVEMBER 6, 2006; PROVIDING THAT SAID SERIES 2025 BOND SHALL BE PAYABLE SOLELY FROM PLEDGED FUNDS; PROVIDING CERTAIN DETAILS OF THE SERIES 2025 BOND; DELEGATING OTHER DETAILS AND MATTERS IN CONNECTION WITH THE ISSUANCE OF THE SERIES 2025 BOND TO THE CHAIR, WITHIN THE LIMITATIONS AND RESTRICTIONS STATED HEREIN; AUTHORIZING THE NEGOTIATED SALE AND AWARD BY THE CHAIR OF THE SERIES 2025 BOND TO WEBSTER BANK, NATIONAL ASSOCIATION, AS DESCRIBED HEREIN; AUTHORIZING THE EXECUTION OF A TERM SHEET; APPOINTING A PAYING AGENT AND REGISTRAR FOR THE SERIES 2025 BOND; PROVIDING FOR THE APPLICATION OF THE PROCEEDS OF THE SERIES 2025 BOND AND CREATING CERTAIN SUBACCOUNTS; PROVIDING CERTAIN COVENANTS FOR THE BENEFIT OF WEBSTER BANK, NATIONAL ASSOCIATION; AUTHORIZING OFFICERS AND EMPLOYEES OF THE AGENCY TO TAKE ALL NECESSARY ACTIONS IN CONNECTION WITH THE ISSUANCE OF THE SERIES 2025 BOND; AND PROVIDING FOR AN EFFECTIVE DATE. CITY RESOLUTION A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF WEST PALM BEACH, FLORIDA, AUTHORIZING THE ISSUANCE BY THE WEST PALM BEACH COMMUNITY REDEVELOPMENT AGENCY OF NOT TO EXCEED $29,000,000 IN PRINCIPAL AMOUNT OF WEST PALM BEACH COMMUNITY REDEVELOPMENT AGENCY TAX INCREMENT REVENUE BOND, TAXABLE SERIES 2025 (CITY CENTER COMMUNITY REDEVELOPMENT AREA), IN ACCORDANCE WITH THE REQUIREMENTS OF CHAPTER 163, PART III, FLORIDA STATUTES, AS AMENDED; AUTHORIZING THE FINANCING OF THE SERIES 2025 CCCRA REDEVELOPMENT PROJECT; AUTHORIZING OFFICERS AND EMPLOYEES OF THE CITY TO TAKE ALL NECESSARY ACTIONS IN CONNECTION THEREWITH; AND PROVIDING AN EFFECTIVE DATE. Pursuant to Section 286.0105, Florida Statutes, the Agency and the City hereby advise the public that: if a person decides to appeal any decision made by any board, agency or commission with respect to any matter considered at its meeting or its hearing, such person must insure that a verbatim record of the proceedings is made, which record includes the testimony and evidence upon which the appeal is to be based. This notice does not constitute consent by the Agency or the City for the introduction or admission of otherwise inadmissible or irrelevant evidence, nor does it authorize challenges or appeals not otherwise allowed by law.
