NOTICE OF PUBLIC HEARING
NOTICE IS HEREBY GIVEN that a public hearing pursuant to Section 859-a and Article 18-A of the New York General Municipal Law (collectively, the "Act") will be held on October 22, 2025, at 9:30 a.m., local time, by the County of Westchester Industrial Development Agency (the "Agency") at 148 Martine Avenue, Conference Room A, 9th Floor, White Plains, New York 10601, in connection with the following matter:
By resolution dated January 27, 2022, the Agency approved "financial assistance" (as that term is defined in the Act), inclusive of a partial real property tax abatement structure under a payment in lieu of taxes ("PILOT") agreement for a certain project (the "Project") for the benefit of ARTHOUSE WP DEVELOPMENTS LLC ("Arthouse"), consisting of (a) the Agency taking title, possession or control (by deed, lease, license or otherwise) of the premises located at 1 Lyon Place and 10 Lyon Place, White Plains, New York (the "Land"), and the existing improvements thereon inclusive of two existing buildings (the "Existing Improvements"), (b) the lease, sublease, or installment sale of the Land and Existing Improvements back to the Company; (c) the construction, renovation, improving, maintaining and equipping of 212 multifamily, residential rental units of which 6% (13 units) are affordable to residents earning at or below 60% of area median income ("AMI"), as defined by the U.S. Department of Housing and Urban Development, for Westchester County, with associated residential amenities and commercial space (the "Improvements"; and, together with the Land and Existing Improvements are, collectively, the "Facility").
In furtherance of the Project, the Agency and Arthouse entered into various agreements, including (i) a certain Project Agreement, dated as of June 30, 2022, (ii) a certain Company Lease Agreement, dated as of June 30, 2022, a memorandum of which was recorded in the Office of the Westchester County Clerk on July 15, 2022, at Control Number 620203993, (iii) a certain Agreement of Sublease, dated as of June 30, 2022, a memorandum of which was recorded in the Office of the Westchester County Clerk on July 15, 2022, at Control Number 620204009, (iv) a certain Payment in Lieu of Taxes Agreement, dated as of June 30, 2022, (v) a certain PILOT Mortgage, dated as of June 30, 2022, in favor of the City of White Plains, which was recorded in the Office of the Westchester County Clerk on July 15, 2022, at Control Number 621823209, and (vi) related documents (collectively, the "Agency Agreements").
RBH 1 LYON, LLC, and/or a special purpose entity formed or to be formed by or on its behalf or controlled by it (the "Company") has submitted an application to the Agency requesting the Agency's approval for (A) the sale of the Facility from Arthouse to the Company, and the assignment from Arthouse and the assumption by the Company of the Agency Agreements, inclusive of the remaining term of the PILOT benefits, and (B) conversion of the Facility into a mixed-used, intergenerational community with approximately (i) 98 workforce housing units, marketed to educators and other workforce professionals (of which 78 units for residents earning at or below 120% AMI, 7 units for residents earning at or below 80% AMI and 13 units for residents earning at or below 60% AMI), (ii) 114 market-rate senior (ages 62 and over) residential rental units, and one (1) in-house manager's unit.
Should the Agency consent to the assignment from Arthouse and assumption by the Company if the Agency Agreements, the Agency contemplates that it will provide financial assistance (the "Financial Assistance") to the Company in the form of the assignment of the existing partial real property tax abatement. No additional "financial assistance" (as that term is defined in the Act) is contemplated to be provided by the Agency at this time.
A representative of the Agency will be present at the above-stated time and place to present a copy of the Company's Application, including a cost-benefit analysis, and to hear and accept written and oral comments from all persons with views in favor of or opposed to or otherwise relevant to the proposed Financial Assistance.
