NOTICE OF PUBLIC HEARING
The Florida Development Finance Corporation ("FDFC"), on behalf of the Board of County Commissioners (the "Board") of Escambia County, Florida (the "County"), will hold a public hearing, pursuant to Section 147(f) of the Internal Revenue Code of 1986 (the "Code"), commencing at 2 p.m., local time, on Tuesday, October 28, 2025. In accordance with Internal Revenue Service Procedure 2022-20, this public hearing will be held by telephone conference. The FDFC will conduct a public hearing, following which the Board of the County will consider adoption of a resolution regarding a proposed issuance by the Indiana Finance Authority (the "Indiana Authority"), of its qualified 501(c)(3) bonds, as defined in Section 145 of the Code, for hospitals or other healthcare facilities, in one or more series, in an aggregate principal amount not to exceed $1,407,000,000 (the "Bonds"). The proceeds of the Bonds will be loaned to Ascension Health Alliance d/b/a Ascension ("Ascension"), a Missouri not-for-profit corporation and an organization described in Section 501(c)(3) of the Code, which will use a portion of the proceeds in the amount not to exceed $230,000,000 to finance (including reimburse) or refinance the acquisition, construction, equipping, repair, restoration, reconditioning, remodeling and/or installation of certain capital improvements to certain hospital, health facilities and related facilities, including land, generally located at the following locations in Pensacola, Florida (collectively, the "Escambia County Projects"):
The campus of Ascension Sacred Heart Pensacola, generally located at 5151 North 9th Avenue, Pensacola, and generally bounded by North 9th Avenue, Bayou Boulevard, Carmel Heights Road, College Parkway, and Airport Boulevard ($210,000,000 maximum principal amount); and
For Ascension Sacred Heart Emergency Department, generally located at 13139 Sorrento Road, Pensacola ($20,000,000 maximum principal amount).
The Escambia County Projects are owned and/or principally used by Sacred Heart Health System, Inc. ("Sacred Heart"), a Florida not-for-profit corporation and an organization described in Section 501(c)(3) of the Code, and an affiliate of Ascension.
The remainder of the proceeds of the Bonds will be used by other affiliates of Ascension for projects located in other jurisdictions in the state of Florida, as well as the states of Indiana, Illinois, Kansas, Maryland, Oklahoma, Tennessee, Texas and Wisconsin.
The Bonds and the interest thereon shall not constitute an indebtedness or pledge of the general credit or taxing power of FDFC, the County, the State of Florida, the State of Indiana, or any political subdivision or agency of any of the foregoing.
At such public hearing there will be an opportunity for persons to express their views concerning the issuance of the Bonds by the Indiana Authority, or the nature and location of the Escambia County Projects to be financed or refinanced with the proceeds of the Bonds.
