PLEASE TAKE NOTICE that on May 30, 2025, American Water Works Company, Inc. ("American Water"), New Jersey-American Water Company, Inc. (the "Company", "NJAWC" or "New Jersey American Water"), Nexus Regulated Utilities, LLC ("Nexus"), Montague Water Co., Inc. and Montague Sewer Co., Inc. (together, the "Montague Companies" or "Montague") (collectively, the "Joint Petitioners") submitted a Joint Petition to request approval by the New Jersey Board of Public Utilities ("Board" or "BPU"), of the acquisition and change in control of the Montague Companies pursuant to the provisions of N.J.S.A. 48:2-51.1, 48:3-7, and 48:3-10, N.J.A.C. 14:1-5.10 and 14:1-5.14 (the "Proposed Transaction"). The Proposed Transaction entails the acquisition of the Montague Companies by American Water and subsequent merger of the Montague Companies with and into New Jersey American Water. As described in the Joint Petition, no rate changes are proposed in connection with the Proposed Transaction. NJAWC will continue to provide utility services to customers of the Montague Companies at their current BPU-approved tariff rates for water and wastewater service under the standard terms and conditions of NJAWC's tariff.
The Board will evaluate the impact of the Proposed Transaction on competition, the rates paid by the customers of the Montague Companies, the employees of the Montague Companies, and the provision of safe and adequate utility service at just and reasonable rates. The Joint Petitioners state that the Proposed Transaction will not have an adverse impact on competition, rates, employees of the Montague Companies, or on the provision of safe, adequate and proper utility service, and instead will provide positive benefits as demonstrated by the commitments included in the Joint Petition. Any relief determined by the Board to be just and reasonable may be applied by the Board in such a manner as it deems appropriate.

Notice of the Proposed Transaction was served on the clerk, executive or administrator of each municipality and county within the NJAWC and Montague Companies' service areas. Such notice has also been served, together with the reconciliation filing and all exhibits, upon the Director of the New Jersey Division of Rate Counsel ("Rate Counsel"). A copy of the Joint Petition is also available for inspection on the Company's website at https://amwater.com/njaw/Customer-Service-Billing/Your-Water-and-Wastewater-Rates/regulatory-proceedings.
Representatives from the Company, Board Staff, and Rate Counsel will participate in the virtual public hearings. Members of the public are invited to participate by utilizing the link or dial-in information set forth above to express their views on the filing. All comments will become part of the final record of the proceeding to be considered by the Board. In order to encourage full participation in this opportunity for public comment, please submit any requests for needed accommodations, such as interpreters and/or listening assistance, at least forty-eight (48) hours prior to the above hearing to the Board Secretary at board.secretary@bpu.nj.gov.
