NOTICE OF PUBLIC HEARING
Public notice is hereby given that a public hearing will be held by the Palm Beach County Health Facilities Authority (the "Authority") on January 5, 2026, at 10:30 a.m. at the offices of Nason Yeager Gerson Harris & Fumero, P.A., 3001 PGA Boulevard, Suite 305, Palm Beach Gardens, Florida 33410, regarding the issuance by the Authority of its Revenue Bonds (Lifespace Communities, Inc.) (the "Bonds"), consisting of one or more series, in an aggregate principal amount not to exceed $325,000,000 (including anticipated uses for project costs described below, costs of issuance, funded interest, and debt service reserves). The proceeds of the Bonds will be loaned to Lifespace Communities, Inc., an Iowa nonprofit corporation (the "Borrower") to fund the Borrower's plan of finance, including financing the costs of additions, renovations, remodeling, equipping and miscellaneous capital improvements to the Borrower's life care communities, known as Abbey Delray South, Harbour's Edge, The Waterford, and Village on the Green, as follows:
1. Abbey Delray South, owned and operated by the Borrower, located at 1717 Homewood Boulevard in Delray Beach, Florida 33445. The Abbey Delray South project is expected to include (a) renovations to existing independent living units and (b) construction of new assisted living and memory care units, and (c) other additions, renovations, remodeling, equipping and miscellaneous capital improvements to said facility in the amount not expected to exceed $50,000,000.
2. Harbour's Edge, owned and operated by the Borrower, located at 401 East Linton in Delray Beach, Florida 33483. The Harbour's Edge project is expected to include (a) addition of new common space flooring and (b) other additions, renovations, remodeling, equipping and miscellaneous capital improvements to said facility in the amount not expected to exceed $15,000,000.
3. The Waterford, owned and operated by the Borrower, located at 601 Universe Boulevard, Juno Beach, Florida 33408. The Waterford project is expected to include a major expansion of the community, including (a) acquisition of and renovations to property adjacent to the existing facility located at 12575 US Highway 1, Juno Beach, Florida, (b) construction of a new residential living building containing 39 independent living units, with new shared residential common areas, and a structured parking garage, (c) a new 3-story healthcare wing connected to the new residential living building containing 24 assisted living suites and 16 memory-support suites, (d) new and existing renovated common areas, including lobbies, dining venues, meetings spaces, and administrative offices, and (e) associated site-wide landscape and hardscape improvements, and (f) miscellaneous capital improvements to said facility in the amount not expected to exceed $150,000,000.
4. Village on the Green, owned and operated by the Borrower, located at 500 Village Place, Longwood, Florida. The Village on the Green project is expected to include (a) acquisition of and renovations to property adjacent to the existing facility located at 140 Wekiva Springs Road, Longwood, Florida, (b) construction of new independent living apartments and villas, (c) replacement of existing tile roof, (d) replacement of car ports and walkways, (e) remodel of the clubhouse kitchen, (f) painting and staining existing structures, (g) renovation of an existing deck, and (h) other additions, renovations, remodeling, equipping and miscellaneous capital improvements to said facility in the amount not expected to exceed $110,000,000.
At the Borrower's discretion, the Bond proceeds may be allocated to finance all, a part, or none of the Projects at each location.
The Bonds and the interest thereon shall not constitute a debt, liability or obligation of the Authority, Palm Beach County or the State of Florida or of any political subdivision thereof, but shall be payable solely from the sources pledged therefor, including loan payments payable under a loan agreement to be entered into by and between the Authority and the Borrower.
All interested parties are invited to attend said hearing, and, either personally or through their representatives, present oral or written comments and discussion concerning the issuance of the proposed Bonds and the use of the proceeds thereof. Written comments may be submitted on or before 4:00 p.m. on January 2, 2026, to the Palm Beach County Health Facilities Authority, c/o John F.
