NOTICE OF PUBLIC HEARING THE FAYETTE COUNTY INDUSTRIAL DEVELOPMENT BOARD OF FAYETTE COUNTY, TENNESSEE Notice is hereby given that a public hearing will be held by The Fayette County Industrial Development Board of Fayette County, Tennessee (the "Issuer"), on Monday, April 13, 2026, at 2:00 p.m. (local time) at the Bill G. Kelley Criminal Justice Complex located at 705 Justice Dr., Somerville, Tennessee, United States. Said hearing will be held pursuant to section 147(f) of the Internal Revenue Code of 1986 (the "Code") in respect of the issuance of a lease revenue note or notes in the aggregate principal amount of not to exceed $12,500,000 (the "Notes") by the Issuer, which such Notes will be qualified 501(c)(3) bonds, as defined in Section 145 of the Code, the proceeds of which will be used for the purpose of financing a portion of the development, construction and equipping of a new acute care hospital located at the northwest corner of Highway 64 and Warren Road in Fayette County, Tennessee (the "Hospital"). The Issuer will lease the Hospital to Fayette County, Tennessee (the "County"), upon the completion of the Hospital, which such lease will provide for adequate rental payments from the County to the Issuer to pay the principal of and interest on the Notes, and the County will sublease the Hospital to Baptist Memorial Health Care Corporation, a Tennessee nonprofit corporation, or an affiliate thereof ("Baptist"), pursuant to which Baptist will operate the Hospital. THE NOTES SHALL NEVER CONSTITUTE AN INDEBTEDNESS OR GENERAL OBLIGATION OF THE ISSUER, THE STATE OF TENNESSEE, THE COUNTY, OR ANY OTHER POLITICAL SUBDIVISION OR AGENCY OF THE STATE OF TENNESSEE, BUT SHALL BE PAYABLE SOLELY FROM REVENUES DESCRIBED IN THE NOTE DOCUMENTS.
