Notice Language re R.C. 109.34(F) for the Affilation between Fairfield Medical Center and Adena Health System NOTICE IS HEREBY GIVEN, pursuant to Section 109.34(F) of the Ohio Revised Code, that Fairfield Medical Center, an Ohio nonprofit tax-exempt corporation and Adena Health System, an Ohio nonprofit tax-exempt corporation, propose to consummate a "nonprofit combination" within the meaning of Section 109.34 , whereby Adena will become the sole corporate member of Fairfield Medical Center. Fairfield Medical Center operates inpatient and outpatient hospital locations in Fairfield, Ohio. Upon the closing of the transactions contemplated by the parties' agreement, which is expected to be September 1, 2026, Fairfield Medical Center will continue its operations in Fairfield County without interruption. Notice of the proposed combination was submitted to the Office of the Ohio Attorney General on June 30, 2026. July 16 2026 LWOO0555406
