Notice of Filing Joint Application of South Carolina Water Utilities, Inc., South Carolina Water Utilities-PUI, Inc., South Carolina Water Utilities-PWR, Inc., and Blue Granite Water Company for Approval of Merger Docket No. 2025-283-WS Why is this Notice Important? South Carolina Water Utilities, Inc. ("SCWU"); South Carolina Water Utilities-PUI, Inc. ("SCWU-PUI"), South Carolina Water Utilities-PWR, Inc. ("SCWU-PWR") and Blue Granite Water Company ("BGWC") (collectively the "Joint Applicants") filed an Application for Approval of Merger of Joint Applicants. The Application was filed with the Public Service Commission of South Carolina ("Commission"). The Joint Applicants are each wholly owned indirect subsidiaries of Nexus Water Group, Inc. ("Nexus"), a corporation organized under the laws of the State of Delaware. Nexus and its subsidiaries provide the Joint Applicants with management, operations, and financing support services. Nexus will continue to provide services to the merged company. If the proposed Merger is approved, it will not affect customers' rates nor their service. What are the Joint Applicants asking the Commission to approve? The Joint Applicants request the Commission issue an Order: Approving the Merger Agreement between SCWU, SCWU-PUI, SCWU-PWR, and BGWC and the resulting expansion of SCWU's service territory. Allowing SCWU to assume the rights and responsibilities to serve SCWU-PUI, SCWU-PWR and BGWC's customers and allowing SCWU to assume all related permits and other permits and certain other property necessary for the operation of the systems of the Joint Applicants. Allowing SCWU to operate the merged systems under the name "South Carolina Water Utilities." Allowing SCWU to operate the consolidated water and sewer systems under the schedules of rates and charges currently approved by the Commission. Waiving a hearing in this matter. The case was filed according to S.C. Code Ann. § 58-5-10 et seq., S.C. Code Ann. Regs. 103-504 and 103-541, and S.C. Code Ann. Regs. 103-704 and 103-743.
