Notice to the Public
YOU ARE HEREBY NOTIFIED that there will be heard before Judge Stephens of the Superior Court of Athens-Clarke County, Georgia, on the 23rd day of September, 2025, at 9:00 a.m., at the Athens-Clarke County Courthouse, Courtroom 301, 325 E. Washington Street, Athens, Georgia 30601, the case of the State of Georgia v. Athens Housing Authority and North Downtown Athens Phase II, LP, CIVIL ACTION FILE NO. SU25BN0002-S, in the Superior Court of Athens-Clarke County, the same being a proceeding to confirm and validate the Athens Housing Authority Multifamily Housing Revenue Bonds (North Downtown Athens Phase II) Series 2025 (the "Bonds"). The Bonds are to be issued by the Athens Housing Authority (the "Issuer") for the purpose of financing a portion of the acquisition, constructing and equipping, including certain costs of issuance, of a multifamily residential rental housing project located in Athens, Clarke County, Georgia and within the jurisdiction of the Issuer (the "Project"). The Project is to be owned and operated by North Downtown Athens Phase II, LP, a Georgia limited partnership (the "Borrower"). The financing of the Project will be by the Issuer for the benefit of the Borrower pursuant to the Indenture (as defined in the Petition and Complaint for Bond Validation) and the Loan Agreement (as defined in the Petition and Complaint for Bond Validation). In said proceeding, the Court will also pass upon the validity of said Indenture, said Loan Agreement, the Collateral Documents (as defined in the Petition and Complaint for Bond Validation), the Construction Phase Financing Agreement (as defined in the Petition and Complaint for Bond Validation), the Land Use Restriction Agreement (as defined in the Petition and Complaint for Bond Validation), the Fee Obligation Guaranty Agreement (as defined in the Petition and Complaint for Bond Validation) and the Note (as defined in the Petition and Complaint for Bond Validation) in connection with and relating to the Bonds, and the Funding Loan Agreement (as defined in the Petition and Complaint) and the Project Loan Agreement (as defined in the Petition and Complaint) in connection with and relating to the Governmental Note, as well as upon the validity of the Housing Authorities Law, O.C.G.A. § 8-3-1, et seq., as amended. Said Bonds will mature in the amounts, on the date and bear interest at the rates set forth in the Indenture. Said Governmental Note will mature in the amounts on the date and bear interest at the rates set forth in the Funding Loan Agreement. Any citizen of the State of Georgia residing in Athens-Clarke County, Georgia, or any other person wherever residing who may have a right to object, may become a party to this proceeding at or before the date and the time of the hearing set forth above, and each such person must file pleadings with the Athens-Clarke County Clerk of Superior Court at or before the date and time for the hearing set forth above.
No performance audit or performance review of the nature described in § 36-82-100 of the Official Code of Georgia Annotated will be conducted with respect to the Bonds.
