URBANDALE-WINDSOR HEIGHTS SANITARY DISTRICT MEETING MINUTES BOARD OF TRUSTEES REGULAR MEETING April 15, 2025 The Board of Trustees of the Urbandale-Windsor Heights Sanitary District met at Windsor Heights City Hall on April 15, 2025, commencing at 3:00 p.m. The regular meeting was called to order with Trustee Tillinghast presiding. Roll call: Dave Tillinghast and Darren Fife. Also present were Paul A. Drey, Attorney for the District; John Larson, City Engineer, City of Urbandale; and Tim Stovie, Assistant Director of Public Works, City of Urbandale. Fife moved, seconded by Tillinghast, to approve the minutes of the regular meeting held on March 6, 2025. On roll call: Ayes, Tillinghast and Fife. Nays, none. Motion carried. Tillinghast moved, seconded by Fife, to approve the payment of bills and checks numbered 5741 through 5748, all as described on the following bill list dated April 15, 2025: CHECK NO. FY2025 $100.00 5748 CITY OF DES MOINES WRA Budget Share – May 2025; #139768 $65,592.50 On roll call for the approval of payment of bills: Ayes, Tillinghast and Fife. Nays, none. Motion carried. Tillinghast announced that the next item of business was the Citizens Forum and asked if any citizen present wished to discuss any matters. No items were presented for discussion. The Attorney and the Trustees reviewed the District's financial information and the monthly revenue information that was included with this month's bill list. The Attorney and the Trustees discussed the projected cashflow matters which were presented by PFM, and the proposed rate change options and schedule. After review and discussion of the rate increase options, moved by Fife, seconded by Tillinghast, to approve the rate increase schedule as set forth below: Rate Per 1,000 Gallons Customer Service Charge Effective Date 5.60 4.06 July 1, 2025 6.44 4.67 June 1, 2026 7.08 5.14 June 1, 2027 7.79 5.65 June 1, 2028 8.57 6.21 June 1, 2029 9.43 6.84 June 1, 2030 On roll call: Ayes, Tillinghast and Fife. Nays, none. Motion carried. The Trustees directed the Attorney to move forward with implementing the rate increase and providing appropriate notice thereof to the District's customers. The Attorney and the Trustees also discussed the upcoming SRF payment and the remaining amortization schedule. Upon review and upon recommendation from the District's financial advisor, the Trustees made the decision to make an additional payment of $250,000 towards paying down the remaining principal. The Trustees directed the Attorney to make the necessary arrangements with the Iowa Finance Authority to facilitate this additional principal payment. The Trustees and the Attorney briefly discussed the recent WRA meeting issues. Tim Stovie then provided to the Trustees an update on the status of grease traps review and answered any questions or comments raised by the Trustees. There were no further items to discuss from the City Engineer. Tillinghast moved to adjourn at 3:20 p.m., with the next regular meeting to be held on Tuesday, May 20, 2025, commencing at 3:00 p.m. On roll call: Ayes, Tillinghast and Fife. Nays, none. Roll call: Dave Tillinghast and John Garvey. Also present were Paul A. Drey, Attorney for the District; and Tim Stovie, Assistant Director of Public Works, City of Urbandale. Tillinghast moved, seconded by Garvey, to approve the minutes of the regular meeting held on April 15, 2025. On roll call: Ayes, Tillinghast and Garvey. Nays, none. Motion carried. Garvey moved, seconded by Tillinghast, to approve the payment of bills and checks numbered 5749 through 5752, and ACH scheduled for 6/1/25, all as described on the following bill list dated April 15, 2025: CHECK NO. The Attorney then provided the Trustees the 3rd Quarter FY 2025 Financials. After brief discussion, moved by Tillinghast, seconded by Garvey, to accept and file the 3rd Quarter FY 2025 Financials, as presented. On roll call: Ayes, Tillinghast and Garvey. Nays, none. Motion carried. The Attorney provided an update on the rate increase notice and implementation. Urbandale Water Department will be including the rate increase notice in the June 1st water bills, and the notice has been put on the District's web page and published in the Des Moines Register – Central Iowa Edition. The Trustees and the Attorney briefly discussed the recent WRA meeting issues. Tillinghast moved to adjourn at 3:20 p.m., with the next regular meeting to be held on Tuesday, June 17, 2025, commencing at 3:00 p.m. On roll call: Ayes, Tillinghast and Garvey. Nays, none. The Attorney and the Trustees discussed the upcoming audit and fiscal year ending June 30, 2025. An engagement letter from Denman CPA, LLP will be presented at the next meeting. The Attorney provided an update on the rate increase notice and implementation. Urbandale Water Department has included the rate increase notice in the June 1st water bills, and the notice has also been put on the District's web page and published in the Des Moines Register – Central Iowa Edition. The Attorney then presented the Annual Certificate of WRA Participating Community for the fiscal year ending June 30, 2026, to be signed by the District. Moved by Garvey, seconded by Fife, to authorize the signing of the Annual Certificate of WRA Participating Community for the fiscal year ending June 30, 2026. On roll call: Ayes, Tillinghast, Garvey and Fife. Nays, none. Motion carried. The Attorney and the Trustees discussed the potential Ordinance regarding the Foundation Drain Disconnection Program. Further discussion and review will continue at upcoming meetings. The Trustees and the Attorney briefly discussed the recent WRA meeting issues.
